受继受法特质的影响，当下主流的法学研究习惯于将比较法，尤其是美国法，作为检验我国证券法律制度良莠的参照系。在“最佳实践”的思维惯性之下，我们容易把所有的注意力都集中到纸面规则的设计上，而法律在现实世界中是否得到了有效的执行，却在很大程度上被忽略。本书希望跳脱出既有的思维羁绊，去探寻当代商事法律背后的那些隐微、幽密之处，并重新审视我国证券法的执行以及未来可能发生的变革。

Influenced by the characteristics of successive law, the current mainstream legal research is accustomed to using comparative law, especially American law, as a frame of reference to test the merits of China's securities legal system. Under the inertia of "best practice" thinking, we tend to focus all our attention on the design of paper rules, while whether the law is effectively enforced in the real world is largely ignored. This book hopes to break out of the existing thinking shackles, explore the subtle and secret places behind contemporary commercial law, and re-examine the implementation of China's securities law and possible changes in the future.（AI翻译）
